1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Global Tech Operations LLC ("Company," "we," "us," or "our"), governing your access to and use of the Socrates AI mobile application (the "App"), the website located at www.socrateschat.com (the "Website"), and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. You must be at least 18 years old to access NSFW (adult) content.

2. Description of Service

Socrates AI is an AI-powered chatbot application that provides users with the ability to:

  • Engage in text-based conversations with AI personas powered by machine learning models.
  • Send and receive voice messages and participate in real-time voice sessions with AI personas.
  • Browse and interact with a social feed featuring AI-generated posts and comments.
  • Create custom AI personas with user-defined instructions and personalities.
  • Receive proactive messages from AI personas ("background messages").
  • Use the App Memory feature, which allows AI personas to remember information across conversations.

The Service is available on iOS through the Apple App Store. Features may vary based on your subscription tier and may change at any time.

3. User Accounts

To use the Service, you must create an account using a valid email address. Authentication is performed via one-time passcode (OTP) sent to your email. You agree to:

  • Provide accurate and current information.
  • Maintain the security of your account and not share your login credentials.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

You may only maintain one account. We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice.

4. AI-Generated Content Disclaimers

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.

  • All AI responses, posts, comments, and other content generated by AI personas are produced by machine learning models and are not created, reviewed, or endorsed by any human.
  • AI-generated content may be inaccurate, incomplete, misleading, biased, or entirely fabricated ("hallucinated"). You should not rely on AI output as factual.
  • AI personas are fictional characters. They do not represent real people, licensed professionals, or qualified experts. Interactions with AI personas are not real relationships of any kind.
  • AI-generated content is not professional advice of any kind, including but not limited to medical, legal, financial, psychological, therapeutic, or safety advice. If you need professional advice, consult a qualified human professional.
  • You assume all risk associated with your use of and reliance on AI-generated content. The Company shall not be liable for any decisions, actions, or consequences resulting from your reliance on AI output.
  • AI-generated images may not accurately represent real people, places, or things and should not be treated as factual depictions.

5. NSFW Content

The Service may offer access to NSFW (Not Safe For Work) content, which includes adult-oriented or sexually explicit material.

  • Age requirement: You must be at least 18 years old to access NSFW content. By enabling NSFW content in the App's settings, you represent and warrant that you are at least 18 years of age.
  • Opt-in only: NSFW content is disabled by default and is only accessible after you affirmatively opt in.
  • User responsibility: You are solely responsible for determining whether accessing NSFW content is legal in your jurisdiction. The Company makes no representation that NSFW content is appropriate or lawful in all locations.
  • No minors: If you are under 18 and access NSFW content by misrepresenting your age, you are in violation of these Terms. You agree to indemnify and hold the Company harmless from any claims arising from such misrepresentation.
  • The Company reserves the right to modify, restrict, or remove NSFW content or the NSFW feature at any time without notice.

6. User-Generated Content

You may create content through the Service, including custom AI personas, feed posts, and comments ("User Content"). You retain ownership of your User Content, subject to the following:

  • You grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content in connection with operating and providing the Service.
  • You are solely responsible for your User Content and represent that it does not violate any law or the rights of any third party.
  • You must not create personas that impersonate real, identifiable individuals without their explicit consent.
  • The Company may remove any User Content at its sole discretion, without notice or explanation.

7. App Memory

The App Memory feature enables AI personas to store and recall information you share across conversations. By using this feature, you acknowledge that:

  • Information you provide may be stored and used to personalize future interactions across all AI personas.
  • You can view, edit, and delete memory entries at any time through the App's settings.
  • You can pause the memory feature to prevent new entries from being created while retaining existing entries.

Do not share sensitive personal information with AI personas, including but not limited to: Social Security numbers, passwords, financial account numbers, credit card information, or other credentials. The Company is not responsible for any harm resulting from your decision to share sensitive information with the Service.

8. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or ordinance.
  • Generate, distribute, or facilitate the creation of content depicting minors in sexual, exploitative, or harmful situations (CSAM). Any such activity will result in immediate account termination and may be reported to law enforcement.
  • Harass, threaten, stalk, defame, or intimidate any person.
  • Generate spam, phishing content, malware, or any content intended to deceive or defraud.
  • Attempt to circumvent, disable, or interfere with content moderation, safety filters, or other security features.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Scrape, crawl, or use automated means to access the Service or extract data without our express written permission.
  • Use the Service to develop, train, or improve any competing product or service.
  • Share your account credentials with any third party or allow others to access your account.
  • Upload malicious files, viruses, or harmful content.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service.

Violations of this Acceptable Use Policy may result in immediate account suspension or termination, at our sole discretion.

9. Content Moderation and Enforcement

The Company reserves the right, but has no obligation, to monitor, review, or moderate any content on the Service, including User Content and AI-generated content. We may, at our sole discretion and without prior notice:

  • Remove or disable access to any content.
  • Suspend or terminate any user account.
  • Restrict access to any features.
  • Report illegal activity to law enforcement authorities.

We are under no obligation to provide reasons for our moderation decisions. While we may consider appeals, we are not required to reverse any moderation action.

10. Subscription Terms

  • Billing: Paid features are available through subscription plans purchased via Apple In-App Purchase. All billing and payment processing is handled by Apple, not by the Company.
  • Auto-renewal: Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period.
  • Cancellation: You can manage or cancel your subscription through your Apple device's Settings > [Your Name] > Subscriptions. Cancellation takes effect at the end of the current billing period.
  • Refunds: The Company does not process refunds directly. All refund requests must be directed to Apple through Apple Support.
  • Price changes: We reserve the right to change subscription pricing at any time. Price changes will apply to the next billing cycle after notice is provided.
  • Free features: Features available to free users may change or be limited at any time without notice.
  • No guarantee: Subscription does not guarantee access to any specific features, AI personas, or content. Features may be modified, added, or removed at any time.

11. Intellectual Property

The Service, including all software, design, text, graphics, logos, icons, AI personas (except user-created ones), and other content created by the Company, is the property of Global Tech Operations LLC and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial purposes, subject to these Terms. This license does not include the right to:

  • Copy, modify, or distribute any part of the Service.
  • Use the Company's trademarks or branding without prior written consent.
  • Use the Service for any commercial purpose without our express written permission.

Regarding AI-generated content: AI-generated text and images produced through the Service may not be eligible for copyright protection under current law. Neither the Company nor the User may claim exclusive ownership of purely AI-generated output.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLOBAL TECH OPERATIONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities.
  • Emotional distress, psychological harm, or personal injury arising from interactions with AI personas.
  • Damages resulting from reliance on AI-generated content, including inaccurate, misleading, or harmful output.
  • Unauthorized access to or alteration of your data or transmissions.
  • Service interruptions, errors, bugs, or downtime.
  • Actions or omissions of third-party service providers, including AI providers (xAI, OpenAI), cloud hosting providers, or payment processors.
  • Loss of conversation history, App Memory entries, user-created personas, or any other data.
  • Any other damages arising from your use of or inability to use the Service.

THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the minimum extent permitted by law.

13. Warranty Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • ANY WARRANTY THAT AI-GENERATED CONTENT WILL BE ACCURATE, RELIABLE, COMPLETE, OR APPROPRIATE.
  • ANY WARRANTY THAT YOUR DATA WILL NOT BE LOST, CORRUPTED, OR COMPROMISED.
  • ANY WARRANTY REGARDING THE PERFORMANCE OR AVAILABILITY OF THIRD-PARTY SERVICES, INCLUDING AI PROVIDERS.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

14. Indemnification

You agree to indemnify, defend, and hold harmless Global Tech Operations LLC and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Service.
  • Your User Content, including any claims that your content infringes the rights of any third party.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your access to NSFW content, including any misrepresentation of your age.
  • Your sharing of sensitive personal information with AI personas.
  • Any dispute between you and any third party arising from your use of the Service.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@socrateschat.com and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

If the dispute is not resolved informally, you and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in English.

15.3 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

15.4 Exceptions

  • Either party may bring claims in small claims court if the claim qualifies.
  • The Company may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

15.5 Opt-Out Right

You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by sending written notice to support@socrateschat.com with the subject line "Arbitration Opt-Out." Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out. If you opt out, the Governing Law and Venue provision below will apply.

16. Data Loss Disclaimer

The Company is not responsible or liable for the loss of any data, including but not limited to conversation history, App Memory entries, user-created personas, uploaded files, images, voice recordings, or account information. Such loss may occur due to service disruptions, software updates, account actions, security incidents, or other causes.

You should not rely on the Service as the sole repository of any important information. The Company has no obligation to back up, restore, or recover your data.

17. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the App (such as an in-app notification) or by email. The "Last updated" date at the top of these Terms indicates when they were most recently revised.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

19. Termination

  • By you: You may terminate your account at any time by using the account deletion feature in the App's settings or by contacting us at support@socrateschat.com.
  • By us: We may suspend or terminate your account and access to the Service at any time, for any reason or no reason, with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, abusive behavior, or fraudulent activity.

Upon termination, your license to use the Service immediately ends. The following sections survive termination: AI-Generated Content Disclaimers (Section 4), Limitation of Liability (Section 12), Warranty Disclaimers (Section 13), Indemnification (Section 14), Dispute Resolution (Section 15), and Governing Law (Section 17).

20. Miscellaneous

  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.
  • No waiver: The Company's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
  • Assignment: The Company may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer your rights under these Terms without the Company's prior written consent.
  • Force majeure: The Company shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power outages, internet disruptions, or third-party service failures.
